In order to participate as a Rewards Member in Shop Rewards you must reside in the United States and be 18 years of age or older with a valid Shop account in good standing (“Shop Account”). You may only have one Shop Account and may not share memberships with other individuals or have multiple memberships. However, there may be more than one Shop Account in a household. Memberships cannot be merged or transferred. Shopify may make Shop Rewards available on a rolling or staggered basis such that not all individuals will become eligible for Shop Rewards at the same time or receive the same benefits. By participating in Shop Rewards you agree to the Shop Rewards Terms. If you do not agree to the Shop Rewards Terms, do not participate in Shop Rewards. An offer for Shop Rewards is not confirmed until you see the Shop Rewards applied in your cart at checkout.

1. As part of Shop Rewards, Shopify may, in Shopify’s sole discretion, create and make available to you promotional offers that may be redeemed for discounts on purchases in the Shop App, or other features or benefits related to the Shop Services, subject to any additional terms that Shopify establishes on a per promotional offer basis (“Shop Cash Promo(s)”). Shopify or third parties may offer additional Shop Cash Promos or other benefits, which may be time-limited or while quantities last, and will be awarded as described in the applicable Shop Cash Promo and subject to any additional terms set forth in such Shop Cash Promo. Shop Cash Promo availability is confirmed at checkout.

2. Similar offers may run at the same time, and qualification for a particular Shop Cash Promo does not constitute qualification for any other Shop Cash Promo, Shop Reward or other offer or benefit.

3. A Shop Cash Promo may provide a date by which you must accept the Shop Cash Promo. If you do not accept the Shop Cash Promo by the stated date, you will not receive the Shop Cash Promo.

As part of Shop Rewards, (i) Shopify may, in Shopify’s sole discretion, allow certain Shop Users to earn Shop Cash on an Eligible Shop Pay Transaction and (ii) Shopify may award you Shop Cash on qualifying late orders featuring the Shop Promise badge in accordance with the Shop Promise terms available here ((i) and (ii) collectively, “Earned Shop Cash”).

2. Shop Cash are not property and have no cash value, are not redeemable for cash, gift certificates or gift cards and are purely promotional. This means that the accumulation of Shop Cash does not entitle you to any vested rights with respect to such Shop Cash. Shop Cash cannot be purchased, sold, advertised for sale or bartered, and cannot be divided as part of a settlement, legal proceeding or death, regardless of relationship. Shopify reserves the right to withdraw, limit, modify or cancel any provision of Shop Cash, change Shop Cash benefits, rules for earning, redeeming, retaining or forfeiting Shop Cash, redefine Shop Cash benefits, or terminate provision of Shop Cash at any time, in Shopify’s sole discretion, without any liability to you.

3. Shop Cash may not be earned on all purchases or with all Shop Merchants. Shop Cash may only be earned on Eligible Shop Pay Transactions and is only earned on the portion of an order that is paid with a card. For clarity, no Shop Cash will be earned on the portion of an order not paid with a card, including but not limited to with Shop Cash, gift cards, rebates, or using any form of discounts or promotional value. Any opportunity to earn Shop Cash will be disclosed to you when you checkout with Shop Pay.

4. Shop Cash will not be earned on transactions that are deemed fraudulent, disputed transactions, or transactions subject to a return, except as specifically set forth in these Shop Rewards Terms, and any Shop Cash relating to that event will be deducted from your Shop Cash balance.

1. Shop Rewards can only be redeemed in the Shop App on purchases made on Eligible Shop Pay Transactions from Eligible Shop Rewards Merchants. Shop Rewards are applied to the total order value, including shipping and taxes.

2. Shop Rewards expire on the date set forth in the Shop Cash section of the Shop App. Shop Rewards may have different expiration periods. Unless otherwise noted in the Shop App, Shop Rewards will expire ninety (90) days after your last Qualifying Activity. In the event of a conflict between the expiration period stated in these Shop Rewards Terms, and the expiration period stated in the Shop Cash section of the Shop App, the expiration period stated in the Shop App will govern.

3. You can view, track and redeem your Shop Rewards balance and available Shop Rewards, as well as any additional benefits for which you may be eligible as a Shop Rewards Member, by using the Shop App. You can also find more information about Shop Rewards and how they expire here.

You agree that Shop Rewards: (i) must be used in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by Shopify; (iii) may only be used pursuant to the specific terms that Shopify establishes for such Shop Cash Promo; (iv) are not valid for cash and may not be used outside of the Shop App; and (v) may expire prior to your use.

1. Any use of Shop Rewards are final, and redeemed Shop Rewards will not be returned unless at the Shop Merchant’s discretion as outlined below.

   (i) In the event of a full return, if item(s) purchased using Shop Rewards are returned and the Expiration Period has not expired, the Shop Merchant may return the Shop Cash Rewards to your Shop Rewards balance.

   (ii) In the event of a partial return, if item(s) purchased using Shop Rewards are returned and the Expiration Period has not expired, the Shop Merchant may refund the money spent to the payment method used to complete the eligible purchase amount and/or return the Shop Cash Reward to your Shop Rewards balance. In each case, the amount refunded by the Shop Merchant to the payment method or returned to your Shop Rewards balance will be no more than the maximum amount used for payment.

   (iii) If you use a Shop Cash Promo that multiplies your Shop Rewards for that purchase, and you request a refund, your Shop Rewards balance will only be refunded the amount of Shop Rewards before they were multiplied, and not the multiplied amount.

   (iv) If item(s) purchased using Shop Rewards are returned and the Expiration Period has expired, the Shop Rewards will not be returned to your Shop Rewards balance.

2. If a Shop User returns item(s) that were part of an Eligible Shop Pay Transaction used to earn Shop Cash, then the Earned Shop Cash will be subtracted from your Shop Rewards balance upon return of those items.

1. Shopify reserves the right to withhold or deduct or revoke Shop Rewards or other features or benefits obtained using Shop Rewards by you or any other user in the event that Shopify determines or believes that the earning, use or redemption of the Shop Rewards was in error, fraudulent, illegal, or in violation of the Terms.

2. Shopify further reserves the right to cancel, suspend, terminate or modify Shop Rewards or any part thereof including, without limitation, Shop Cash, at any time without notice and without further obligations to Rewards Members, including, but not limited to modifications which govern how Shop Rewards are earned, redeemed or retained on and after the date of change or change the value of rewards or other benefits.

3. No Shop Rewards will be earned or redeemed after the effective date of termination. Subject to applicable law, any and all changes or amendments to these Shop Rewards Terms will become binding upon all members immediately.

4. Shopify’s rights and obligations under Shop Rewards may be assigned or transferred by Shopify to any other related or unrelated entity at any time, and performances shall be the responsibility of that entity.

5. All questions relating to Shop Rewards or interpretations of these Shop Rewards Terms will be at Shopify’s sole discretion and Shopify’s decisions will be final.

You can view your current Shop Rewards balance by navigating to your profile settings in the Shop App. If you think your Shop Rewards balance is incorrect, you must report your issue using the help center section in the Shop App using the process detailed therein. You should retain all receipts and documentation as may be necessary to verify your issue. For verification, you may be asked to provide certain information. All personal information collected from you in connection with your use of Shop is governed by the Shop Privacy Policy. Failure to supply necessary information or documentation may result in an inability to reward Shop Rewards. We reserve the right (but are not required) to correct inaccurate Shop Rewards balances, and to adjust Shop Rewards balances at our sole discretion. If we do not credit, or improperly deny, a Shop Rewards balance redemption to which you were otherwise entitled, then your exclusive remedy will be the issuance of the improperly denied Shop Rewards balance redemption, if available, or such other alternative benefit as we in our sole discretion may determine.

Participation in Shop Rewards is a privilege granted to Rewards Members, and as such can be suspended, revoked or terminated by Shopify at any time and for any reason. If your Shop Rewards membership is terminated, all Shop Rewards associated with your Shop Rewards membership or any other benefits will be forfeited immediately upon termination. Shopify reserves the right to investigate any purchases, transactions, activity or interaction with the Shop App which we believe, in our sole discretion, may be an abuse of the Shop Rewards program. If your Shop Rewards membership is terminated due to fraudulent activity or noncompliance with the Terms, in addition to forfeiting all Shop Rewards and any other benefits associated with your Shop Rewards membership immediately, you cannot participate in or rejoin Shop Rewards or the Shop Services. If your Shop Account is closed or terminated, you will lose all Shop Rewards. This section does not limit any other rights or remedies Shopify may have under the Shop Terms of Service or other agreements with you.

Shop Rewards or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. Shopify is not responsible or liable for any lost, stolen, late, incomplete, illegible, interrupted, delayed, or misdirected push notifications, e-mail, Shop Rewards, or offer-related materials or correspondence. We are not responsible for any unavailability, interruptions or errors of Shop Rewards or its features. Shopify is not responsible for unauthorized use of Shop Rewards. Shopify may from time to time request information from you to confirm your identity before it will allow use of your Shop Rewards. Shopify may delay your access to the Shop Rewards until you comply with this information request. The Shop Rewards program and all the information accessible through it are provided for information purposes only on an “as is” and “as available” basis. We, our information providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, accuracy, currency, or completeness, the operation of the Shop Rewards program, the information, materials, content, availability, and products. All benefits and rewards made available under the Shop Rewards program, if any, are provided by Shopify and do not modify the contractual relationships among or between Rewards Members, the individuals and entities that use Shopify’s technology to offer goods or services, and Shopify or any Shopify affiliates, except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Capitalized terms used but not defined herein will have the meaning as set forth in the Shop Terms of Service.

“Eligible Shop Pay Transaction” means a valid transaction made in USD from a US base Shopify Merchant using Shop Pay, which does not include a purchase, in whole or in part: (i) using a gift card, (ii) of digital goods (including gift cards), (iii) of a subscription, (iv) using a pickup option, (v) on third party websites, such as Facebook or Instagram’; (vi) via SMS “text-to-buy’; or (vii) digital downloads or (viii) subscriptions. If a Shop User’s purchase includes one of the foregoing ineligible items, no Shop Cash will be earned and no Shop Cash can be redeemed, even on those items that would otherwise be eligible to earn and/or redeem Shop Cash.

“Eligible Shop Rewards Merchants” means a Shop Merchant who accepts Shop Rewards.

“Qualifying Activity” means an Eligible Shop Pay Transaction in the Shop App to which Shop Rewards have been applied.

“Rewards Member” means a Shop User who accepts Shop Cash Promos or otherwise earns Shop Rewards and participates in the Shop Rewards program.

“Shop App” means the Shopify mobile application, either iOS or Android, that allows you to track orders and shipments, and browse and shop from Shop Merchants.

“Shop Merchant(s)” means the Shopify merchants who sell goods or services to Shop Users through the Shop App or offer Shop Pay as an accelerated checkout method on their store (whether hosted by Shopify or a third party platform).

“Shop Pay” has the meaning set forth in the Shop Terms of Service.

“Shop Rewards” means the Shop cash rewards program including Shop Cash Promos, Earned Shop Cash or benefits that are otherwise earned by using the Shop Services, and which can only be redeemed for discounts or other benefits in the Shop App on Eligible Shop Pay Transactions.

“Shop Services” means the Shop App mobile application and other products and services that, among other things, allow you to save and manage your payment information for an accelerated checkout experience, track orders and shipments, and browse and shop from Shop Merchants.

“Shop User” means a user of the Shop Services.
