In order to participate as a Rewards Member in the Shop Rewards Program, you must reside in Canada and be 18 years of age or older with a valid Shop App account in good standing (“Shop Account”). You may only have one Shop Account and may not share memberships with other individuals or have multiple memberships. However, there may be more than one Shop Account in a household. Rewards Members cannot merge or transfer their Shop Rewards. Shopify may make Shop Rewards available on a rolling or staggered basis such that not all individuals will become eligible for Shop Rewards at the same time or receive the same benefits. By participating in the Shop Rewards Program, you agree to the Shop Rewards Terms. If you do not agree to the Shop Rewards Terms, do not participate in Shop Rewards.

1. As part of the Shop Rewards Program, Shopify may, in Shopify’s sole discretion, make available to you promotional offers for Shop Rewards, subject to any additional terms and conditions that Shopify establishes on a per promotional offer basis (such offers, the “Shop Cash Promos”). Shop Cash Promos may be time-limited or while quantities last, and will be awarded as described in the applicable Shop Cash Promo. Shop Cash Promo availability is confirmed upon efforts to claim a Shop Cash Promo.

2. Similar Shop Cash Promos may run at the same time, and qualification for a particular Shop Cash Promo does not constitute qualification for any other Shop Cash Promo, or other offer or reward.

3. A Shop Cash Promo may contain a date by which you must claim the Shop Cash Promo (such date, a “Promo End Date”). If you do not accept the Shop Cash Promo by the Promo End Date, you will no longer be eligible for that Shop Cash Promo.

As part of the Shop Rewards Program, Shopify may, in Shopify’s sole discretion: (i) allow certain Shop Users to earn Shop Cash on Eligible Shop Pay Transactions (the “Earned Shop Cash”) and (ii) award Shop Cash on qualifying late orders featuring the Shop Promise badge in accordance with the Shop Promise terms available here (the “Shop Promise Rewards”).

2. Shop Cash may not be earned on all purchases or with all Shop Merchants. Shop Cash may only be earned on Eligible Shop Pay Transactions and the portion of an order that is paid with a credit or debit card. For clarity, no Shop Cash will be earned on the portion of an order not paid with a credit or debit card, including but not limited to gift cards, rebates, or using any form of discounts or promotional value. Different Shop Cash amounts may be earned depending on the type of Eligible Shop Pay Transaction. Any opportunity to earn Shop Cash will be disclosed to you when you checkout with Shop Pay.

3. Shop Cash will not be earned on transactions that are deemed fraudulent, disputed transactions, or transactions subject to a return, except as specifically set forth in these Shop Rewards Terms, and any Shop Cash relating to that event will be deducted from your Shop Cash balance.

1. Shop Rewards can only be redeemed in the Shop App on Eligible Shop Rewards Transactions. Shop Rewards are applied to the total order value, including shipping and taxes. The promotional value of any Shop Rewards applied to an Eligible Shop Rewards Transaction will be shown in your cart at checkout.

2. Different Shop Rewards may have different Expiration Periods, and the applicable Expiration Period may depend on the province in which you reside.

   • Unless otherwise noted in the Shop App, any Shop Cash claimed from a Shop Cash Promo or awarded as Shop Promise Rewards will have an Expiration Period of ninety (90) days from the date of receipt. Notwithstanding the foregoing, if you are an Ontario Resident, any Shop Cash claimed from a Shop Cash Promo or awarded as Shop Promise Rewards will have an Expiration Period of thirty (30) days from the date of receipt.
   • Unless you are an Ontario Resident or Quebec Resident or otherwise noted in the Shop App, any Earned Shop Cash will have an Expiration Period of ninety (90) days from the date of receipt.
     • If you are an Ontario Resident, unless otherwise noted in the Shop App, any Earned Shop Cash you earn will have an Expiration Period of ninety (90) days of Shop Cash Inactivity.
     • If you are a Quebec Resident, unless otherwise noted in the Shop App, any Earned Shop Cash you earn will have an Expiration Period of one (1) year of Shop Cash Inactivity.

3. In the event of any conflict between the Expiration Period stated in these Shop Rewards Terms and the Expiration Period stated in the Shop Cash section of the Shop App, the Expiration Period stated in the Shop App will govern.

4. You can view, track and redeem your Shop Rewards balance and available Shop Rewards, as well as any additional benefits for which you may be eligible as a Rewards Member, by using the Shop App. You can also find more information about Shop Rewards here.

1. Shop Cash is not property and has no cash value, is not redeemable for cash, gift certificates or gift cards and is purely promotional. This means that the accumulation of Shop Cash does not entitle you to any vested rights with respect to such Shop Cash. Shop Cash cannot be purchased, sold, advertised for sale or bartered, and cannot be divided as part of a settlement, legal proceeding or death, regardless of relationship.

2. Subject to applicable law and Section 7 of these Shop Rewards Terms, Shopify reserves the right to withdraw, limit, modify or cancel any provision of Shop Cash, change Shop Cash benefits, rules for earning, claiming, redeeming, retaining or forfeiting Shop Cash, redefine Shop Cash benefits, or terminate provision of Shop Cash at any time, in Shopify’s sole discretion, without any liability to you.

3. You agree that Shop Rewards: (i) must be used in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by Shopify; (iii) may only be used pursuant to the terms that Shopify establishes for such Shop Rewards; (iv) are not valid for cash or cash equivalents; (v) may not be used outside of the Shop App; and (vi) may expire prior to your use.

1. Any use of Shop Rewards are final, and any redeemed Shop Rewards will not be returned except at the Shop Merchant’s discretion as outlined below:

   a. In the event of a full return, if the order was purchased using Shop Rewards, whether in full or in part, then the Shop Merchant may return the applicable amount of redeemed Shop Rewards to your Shop Rewards balance.

   b. In the event of a partial return, if the order was purchased in full using Shop Rewards, then the Shop Merchant may return the applicable amount of redeemed Shop Rewards to your Shop Rewards balance.

   c. In the event of a partial return, if the order was purchased in part using Shop Rewards and a payment method, then the Shop Merchant may return the applicable amount of redeemed Shop Rewards to your Shop Rewards balance and/or refund the payment method used to complete the purchase. For clarity, the amount returned to your Shop Rewards balance shall in no event be more than the amount of Shop Rewards redeemed, and the amount refunded to your payment method shall in no event be more than the amount paid with the payment method.

   d. If you use a Shop Cash Promo that multiplies your Shop Rewards for a purchase and you return that purchase, then to the extent any Shop Rewards are returned to your Shop Rewards balance, only the original amount of your Shop Rewards before they were multiplied, and not the multiplied amount, would be returned.

   e. For the avoidance of doubt, in each case of (a) through (d) above, to the extent the Expiration Period of any Shop Rewards has expired, such Shop Rewards will not be returned to your Shop Rewards balance. The Expiration Period of any returned Shop Rewards can be viewed in the Shop Cash section of the Shop App.

2. If a Shop User returns item(s) that were part of an Eligible Shop Pay Transaction that earned Shop Cash, then the Earned Shop Cash will be subtracted from your Shop Rewards balance upon return of those items.

1. Shopify reserves the right to withhold, deduct or revoke Shop Rewards, or other features or benefits obtained using Shop Rewards, by you or any other user in the event that Shopify determines or believes that the earning, claiming, use or redemption of the Shop Rewards was in error, fraudulent, illegal, or in violation of the Terms.

2. Subject to applicable law, Shopify further reserves the right to cancel, suspend, terminate or modify Shop Rewards or any part thereof, including without limitation, Shop Cash, at any time without notice and without further obligations to Rewards Members, including but not limited to, modifications which govern how Shop Rewards are earned, claimed, redeemed or retained or change the value of rewards or other benefits.

3. Shopify may update these Shop Rewards Terms from time to time, and reserves the right to make such updates.

   a. Subject to applicable law and if you are not a Quebec Resident, any and all changes or amendments to these Shop Rewards Terms will become binding upon all Rewards Members immediately. By continuing to participate in the Shop Rewards Program or use Shop Rewards after such updated Shop Rewards Terms are posted, you agree to be bound by the amended Shop Rewards Terms. If you do not agree to the amended Shop Rewards Terms, you agree to immediately cease participation in the Shop Rewards Program and use of any Shop Rewards.

   b. If you are a Quebec Resident, we reserve the right to update these Shop Rewards Terms (including updating any eligibility requirements, the processes related to claiming, earning and redeeming Shop Rewards, the availability of promotional offers, to correct Shop Rewards balances, the Shop Rewards Program termination conditions and the circumstances in which our liability may be excluded or limited). If we update these Shop Rewards Terms, in addition to posting the amended Shop Rewards Terms, we will also provide you with between sixty (60) to ninety (90) days’ advance notice of such update where the update is an essential update and with thirty (30) days' advance notice where the update is a non-essential update, in accordance with applicable law. Upon receiving the notice, you may refuse an update that constitutes an update to a non-essential term if such update entails an increase in your obligations or a reduction in our obligations, and cancel these Shop Rewards Terms without cost or penalty by notifying us to that effect within thirty (30) days after such non-essential terms come into force.

4. Shopify may transfer or assign any of our rights or obligations under these Shop Rewards Terms without providing notice to you. You may not transfer or assign Shop Rewards or these Shop Rewards Terms to another person or entity. Any assignment in violation of the foregoing will be null and void from the beginning.

5. All questions relating to Shop Rewards or interpretations of these Shop Rewards Terms will be at Shopify’s sole discretion and Shopify’s decisions will be final.

You can view your current Shop Rewards balance by navigating to your profile settings in the Shop App. If you think your Shop Rewards balance is incorrect, you must report your issue using the Help Center section in the Shop App in accordance with the process detailed therein. You should retain all receipts and documentation as may be necessary to verify your issue. For verification, you may be asked to provide certain information. All personal information collected from you in connection with your use of the Shop App is governed by the Shop Privacy Policy. Failure to supply necessary information or documentation may result in an inability to reward Shop Rewards. We reserve the right, but are not required, to correct inaccurate Shop Rewards balances, and to adjust Shop Rewards balances at our sole discretion. If we do not credit, or improperly deny, a Shop Rewards balance redemption to which you were otherwise entitled, then your exclusive remedy will be the issuance of the improperly denied Shop Rewards balance redemption, if available, or such other alternative benefit as we in our sole discretion may determine.

Participation in Shop Rewards is a privilege granted to Rewards Members, and enrollment, membership and all related benefits of Shop Rewards are offered at Shopify’s discretion. As such, your access and participation in Shop Rewards can be suspended, revoked or terminated by Shopify at any time and for any reason, subject to any requirements of applicable law. If your access or participation in Shop Rewards is suspended, revoked or terminated, all of your Shop Rewards will be forfeited immediately and no further Shop Rewards can be redeemed or earned by you. Shopify reserves the right to investigate any purchases, transactions, use, activity or interaction with the Shop App which we believe, in our sole discretion, may be an abuse of the Shop Rewards Program. If your access to Shop Rewards is terminated due to fraudulent or abusive activity or noncompliance with the Shop Rewards Terms, in addition to immediately forfeiting all of your Shop Rewards and any other benefits under the Shop Rewards Program, you no longer can participate in or rejoin Shop Rewards or the Shop Services. If your Shop Account is closed or terminated, you will lose all Shop Rewards. This section does not limit any other rights or remedies Shopify may have under the Shop Rewards Terms, Shopify Consumer Terms of Service or other agreements with you.

Shop Rewards or any of its features may be unavailable, inaccurate or interrupted from time to time for a variety of reasons. Shopify is not responsible or liable for any lost, stolen, late, incomplete, illegible, interrupted, delayed, or misdirected push notifications, e-mail, Shop Rewards, or offer-related materials or correspondence. Shopify is not responsible for any unavailability, interruptions or errors of Shop Rewards or its features. Shopify is not responsible for unauthorized use of Shop Rewards. Shopify may, from time to time, request information from you to confirm your identity before you can use your Shop Rewards, and your access to Shop Rewards may be delayed until you comply with the request. The Shop Rewards Program and all information accessible through it are provided for informational purposes only on an “as is” and “as available” basis. We, our information providers and their agents make no warranties, representations, or guarantees of any kind, express or implied, including but not limited to, the accuracy or completeness of the Shop Rewards Program and any related information, materials, content, availability, and products. The rewards and benefits made available under the Shop Rewards Program do not modify the contractual relationships among or between Rewards Members, or the individuals and entities that use Shopify’s technology to offer goods or services, and Shopify or any Shopify affiliates, except as expressly set forth herein. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Capitalized terms used but not defined herein will have the meaning as set forth in the Shop Terms of Service.

“Eligible Shop Pay Transaction” means a valid transaction made in Canadian dollars or United States dollars from a Shop Merchant using Shop Pay, which does not include a purchase, in whole or in part: (i) using a gift card; (ii) of digital goods (including gift cards); (iii) of a subscription; (iv) using a pickup option; (v) on third party websites, such as Facebook or Instagram; (vi) via SMS “text-to-buy”; or (vii) digital downloads. If a Shop User’s purchase includes one of the foregoing ineligible items, no Shop Cash will be earned and no Shop Cash can be redeemed, even on those items that would otherwise be eligible to earn and/or redeem Shop Cash.

“Eligible Shop Rewards Merchant” means a Shop Merchant who is: (i) based in Canada or the United States; and (ii) accepts Shop Rewards.

“Eligible Shop Rewards Transaction” means an Eligible Shop Pay Transaction in the Shop App from an Eligible Shop Rewards Merchant.

“Expiration Period” means the expiration date or period of Shop Rewards.

“Rewards Member” means a Shop User who claims a Shop Cash Promo, earns Earned Shop Cash or otherwise receives Shop Promise Rewards or other Shop Rewards, and participates in the Shop Rewards Program.

“Ontario Resident” means a Shop User whose primary residence is in the province of Ontario in Canada.

“Quebec Resident” means a Shop User whose primary residence is in the province of Quebec in Canada.

“Shop App” means the Shopify web platform or mobile application that allows you to track orders and shipments, and browse and shop from Shop Merchants.

“Shop Cash Inactivity” means a period in which Shop User has not earned any Shop Cash from an Eligible Shop Pay Transaction or redeemed any Earned Shop Cash towards an Eligible Shop Rewards Transaction.

“Shop Merchant” means a Shopify merchant who sells goods or services to Shop Users through the Shop App or offers Shop Pay as an accelerated checkout method on their store (whether hosted by Shopify or a third party platform).

“Shop Pay” refers to Shopify’s accelerated checkout method, which allows Shop Users to save and manage their payment information. You can find more information regarding Shop Pay here.

“Shop Rewards” means the Shop Cash rewards, including Shop Cash Promos, Earned Shop Cash, Shop Promise Rewards, or other rewards or benefits that are earned by using the Shop Services, and which can only be redeemed for discounts or other benefits in the Shop App on Eligible Shop Rewards Transactions.

“Shop Services” means the Shop App and other products and services that, among other things, allow you to save and manage your payment information for an accelerated checkout experience, track orders and shipments, and browse and shop from Shop Merchants.

“Shop User” means a user of the Shop Services residing in Canada.
